Thank you for your interest in our VIRTUAL CHOIR of RETURN TO ME.  We have put together these Terms & Releases to make the project expectations clear for all.  Please read this completely before agreeing by uploading content.

The VIRTUAL CHOIR of RETURN TO ME is a project of op(iii), llc AKA October Project (P.O. Box 2223, New Preston, CT  06777) (hereinafter “Producer”).

The Producer:

• Has created a website at https://www.thebookofrounds.com, which allows the upload of recordings;  

• Will accept through this website audio and video recordings of the musical composition “Return to Me” written by Julie Flanders & Emil Adler (“RTM”). (Ownership of the musical composition “Return To Me” including the notation, lyrics, audio, video and music made available on https://thebookofrounds.com (collectively, the “Music Materials”) remains with the copyright holders.);

• Will consider the uploaded recordings and select some or all of the recordings, and edit them, and alter them, for inclusion in and as part of a virtual choir compilation recording of “RTM” (Virtual Choir Recording), at its own effort and expense and in reliance on your agreeing to these Terms & Releases;

• May publish, distribute, use, and/or perform the Virtual Choir Recording anywhere in the world; and

• May receive compensation and/or royalties for its use of the Virtual Choir Recording.

You:

• Agree to these Terms & Releases and will upload through the site an audio and/or video recording of your performance (your “Recording”) of the musical composition “RTM”;

• Agree not to use or reproduce Music Materials in any way whatsoever, other than to create your solo Recording for the Virtual Choir of Return to Me;

• Agree not to submit any inappropriate, libelous, defamatory or obscene material and warrant that nothing in your Recording (whether by way of inflection or gesture or otherwise) will infringe the copyright or any other right of any entity;

• Agree to upload only your own work and warrant you have the full rights in and authority to submit your Recording;

• Agree that the Producer’s consideration of your Recording for inclusion in the Virtual Choir Recording is good and sufficient consideration for agreeing to these Terms & Releases and agree that the Producer retains the right to remove or refuse any submission at their sole discretion;

• Grant to Producer a perpetual, irrevocable, sub-licensable and royalty-free license of all intellectual property (including all copyrights, trademarks, patents, trade secrets, privacy and publicity rights and other intellectual property rights), for any use whatsoever, of your Recording—including to edit, alter, modify, adapt, use, record, exploit, reproduce, publish, make available, distribute, broadcast, display, exhibit, photograph, use on a website, use in an educational setting, release on recorded medium, create derivative works, sublicense, or otherwise use and/or permit others to use your Recording, anywhere in the world, and/or in any and all media now known or hereafter devised;

• Agree that this blanket grant of license is without liability, obligation, restriction, condition, compensation, credit or attribution.

• Agree that you are entitled to no other compensation and no royalties in connection with your Recording or the exploitation thereof in any and all media in perpetuity.

• Agree that all intellectual property rights in your Recording shall be licensed exclusively to Producer (and this license shall operate as a license of future copyrights);

• Agree to waive the benefits of and agree not to assert any provision of any so-called “moral rights” with respect to the Recording;

• Agree to indemnify and hold harmless the Producer (and any of their respective officers, directors, employees, agents, consultants, contractors, assigns, licensors or licensees) from any claims, liabilities, damages, losses, costs, expenses or fees arising from your (or anyone using your account) violation of these Terms & Releases, including, but not limited to, matters related to the use of your Recording by Producer in reliance on these Terms & Releases.

If any provision of these Terms & Releases shall be unlawful, void or for any reason unenforceable, then that specific provision shall be deemed severable from these Terms & Releases and shall not affect the validity and enforceability of any remaining provisions.

These Terms & Releases are governed by and construed in accordance with the laws of the State of New York.
